Terms of Use – StrataSound Music

These Terms & Conditions (“Terms”) govern your access to and use of the website at stratasoundmusic.com, our mobile applications, and any related services (collectively, the “Services”) provided by StrataSound Music (“StrataSound,” “we,” “us,” or “our”). By creating an account or otherwise accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Content Policy, which are incorporated by reference. If you do not agree, do not use the Services.

 

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements and that you have the legal capacity to enter into these Terms.

 

2. Your Account

  • You must provide accurate and complete information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us promptly at support@stratasoundmusic.com if you suspect unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms, our Content Policy, or applicable law.

 

3. The Services

StrataSound provides an AI-powered music creation platform that allows users to generate, explore, share, and discover music, including features such as Songs, Leaderboard, Singing, and community profiles. Features, availability, and pricing may change over time, and we may add, modify, or discontinue any part of the Services at our discretion, with or without notice.

 

3.1 Subscriptions, Credits, and Payments

  • Certain features may require a paid subscription or the purchase of credits. Prices, billing frequency, and included features will be presented to you at the time of purchase.
  • Subscriptions may renew automatically unless cancelled before the renewal date, in accordance with the terms shown at checkout or in your account settings.
  • Payments are processed by third-party payment processors (and, where purchased through a mobile app, the applicable app store). Purchases made through the Apple App Store or Google Play are also subject to that platform’s terms.
  • Except where required by law or expressly stated at the time of purchase, fees are non-refundable.

 

4. User Content

 

4.1 Content You Submit

“User Content” means any prompts, text, lyrics, audio, images, voice recordings, comments, or other material you submit, upload, or generate using the Services. You retain any ownership rights you have in the input you submit, subject to the license below.

 

4.2 License to StrataSound

By submitting User Content, you grant StrataSound a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, modify, publish, publicly perform, publicly display, and distribute your User Content in connection with operating, providing, promoting, and improving the Services (for example, displaying your tracks on the leaderboard, in Songs, or in promotional materials, and generating AI output from your prompts).

 

4.3 Your Responsibilities

  • You represent that you own or have the necessary rights, licenses, and consents to submit your User Content, including rights to any voice, likeness, or third-party material included in your prompts.
  • You will not submit content that infringes intellectual property rights, violates any person’s privacy or publicity rights, or otherwise violates our Content Policy or applicable law.
  • StrataSound may remove or disable access to User Content that violates these Terms, our Content Policy, or applicable law, and may terminate accounts of repeat infringers.

 

5. AI-Generated Output

  • Music, lyrics, and other material generated by the Services in response to your prompts (‘Generated Output’) are produced using artificial intelligence and may incorporate patterns learned from large training datasets.
  • Subject to your compliance with these Terms and, where applicable, your subscription plan, we grant you the rights to use Generated Output for personal or commercial purposes as described in our Content Policy or plan terms in effect at the time of generation.
  • Because AI output can be unpredictable, similar or identical output may be generated for other users from similar prompts, and we do not guarantee that any Generated Output is unique, non-infringing, or free of similarity to existing works.
  • We do not guarantee ownership of, or exclusive rights in, Generated Output, and the availability of copyright protection for AI-generated content may vary by jurisdiction and is evolving.
  • You are responsible for how you use Generated Output, including verifying you have the right to use it for your intended purpose.

 

6. Prohibited Conduct

You agree not to:

  • Use the Services to generate content that is unlawful, infringing, defamatory, obscene, hateful, or that impersonates a real person’s voice or likeness without consent.
  • Reverse engineer, scrape, or attempt to extract the underlying AI models, source code, or training data of the Services.
  • Use automated means (bots, scrapers) to access the Services except as permitted via an official API.
  • Circumvent usage limits, security features, or content moderation systems.
  • Upload malware or interfere with the operation of the Services.
  • Use the Services in violation of any applicable law or third-party rights.

7. Intellectual Property

The Services, including our software, branding, logos, design, and underlying technology, are owned by StrataSound Music or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. You may not use our trademarks or branding without our prior written permission.

 

8. Third-Party Services

The Services may link to or integrate with third-party platforms (such as app stores, Discord, and social media). We are not responsible for the content, policies, or practices of third-party services, and your use of them is subject to their own terms.

 

9. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms, our Content Policy, or applicable law, or for any other reason at our discretion. Sections of these Terms that by their nature should survive termination (including Sections 4–8 and 10–14) will survive.

 

10. Disclaimers

THE SERVICES AND ANY GENERATED OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, QUALITY, ORIGINALITY, OR NON-INFRINGEMENT OF ANY AI-GENERATED OUTPUT.

 

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATASOUND MUSIC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

 

12. Indemnification

You agree to indemnify, defend, and hold harmless StrataSound Music and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

 

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles, unless otherwise required by the mandatory consumer-protection laws of your place of residence. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts, except where applicable law requires otherwise.

 

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page with a new effective date, and, where appropriate, through additional notice such as email or an in-app notice. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

 

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and StrataSound regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
